Payment Terms & Conditions

1. Prices quoted are based upon information provided by customer. Any changes in
specifications may result in a change in price.

2. All rights not expressly granted in this proposal remain the exclusive property of InCom.

3. Payment for invoices is due 30 days from date of invoice.

4. If the project is canceled by the customer after the date of acceptance, the customer will be
responsible for all expenses incurred to that point.

5. The prices, terms and conditions of this quotation are valid for 60 days from proposal date.

6. Video or audio recording of training sessions, photography or copying of material is
prohibited unless prior written permission is obtained from InCom.

7. The customer is aware that it is solely responsible for understanding and complying with
applicable laws and regulations. Training, consultation, recommendations or any other communications by InCom in no way eliminates the need for the customer to learn and observe all applicable laws and take all necessary steps to insure compliance.

Freight Terms

1. All items as quoted are FOB Origin. Standard InCom routing is via standard delivery schedules for common carrier freight, UPS, or US Postal Service. Any express service, overnight delivery, blue label, expedited shipments, etc. may result in customer being billed for special charges.

             Copyright / Intellectual Property Terms & Conditions

1. InCom has developed certain unique proprietary information related to training, regulatory
information and other communication services. These include manuals, diagrams, text, training materials, photographic slides, computer data files, seminars, charts, videotapes, audiotapes, overhead transparencies and other related materials.

2. All such proprietary information is copyrighted by InCom. InCom may grant to its Client /
Customer, upon proper execution of a sales agreement, certain non-exclusive rights to use such copyrighted proprietary information as described and included in the sales agreement. For purposes of this quotation, InCom intends to grant such rights to its Client / Customer in accordance with the terms of a subsequent formal purchase agreement.

3. Client / Customer agrees not to reproduce nor duplicate, in whole or in part, any InCom
copyrighted information in any manner without prior written consent of InCom.

4. Client / Customer further agrees to use InCom copyrighted proprietary information only for the
training of their own employees or other authorized parties and further agrees not to resell, rent, relocate, transfer, distribute, reproduce, duplicate, or reuse, in whole or in part, any such information without prior written consent of InCom.
